The Society's Board

The Board of Management (BOM) manages the affairs of the Florida Society as provided in the corporation’s By-Laws. It meets twice each year: once in the fall (usually in October) and once in the spring (usually in May) in conjunction with the Annual Meeting, during which officers are elected and any proposed By-Laws changes are considered.

Meetings are typically held on Friday and Saturday, with the Board and Annual meetings taking place on Saturday afternoon. In the fall, a banquet is held on Saturday night. In the spring, events include the annual awards banquet on Friday night, a youth awards luncheon on Saturday, and the installation banquet on Saturday night. Other times during the two days are devoted to workshops and committee meetings.

All members in good standing of the Florida Society may vote at the Annual Meeting. Only members of the Board may vote at board meetings. Membership on the Board is limited to members in good standing of the Florida Society who fall into at least one of the following categories:

  • Lifetime members of the Board by virtue of being a past President of the Florida Society, a recipient of the Patriot Medal, or an incumbent or past elected officer of the National Society.
  • Members of the Board by virtue of currently serving as an elected officer of the Florida Society; an appointed state committee chairman; an incumbent National Trustee from Florida; an incumbent Chapter President; or the most recent Past President of a chapter (the person who immediately preceded the current Chapter President in office). If a chapter has no recent Past President, it shall designate another member to serve on the Board.
  • Members appointed by chapters that have more than forty members, on the basis of one additional board member for each forty chapter members, or fraction thereof beyond the first forty. The term of office of these additional Board members is coterminous with the term of the Chapter President in office at the time of their appointment.

A board member who is unable to attend a meeting may designate, in writing, another member of the Florida Society to attend and act in his place; however, no person may cast more than one vote. Members of Florida who are not board members may attend and participate in debate but may not vote. Visiting dignitaries, especially those from other State Societies or from the National Society, may attend and may be invited to address the meeting, but they may not participate in debate or vote.

Chapters must report members in Category C above to the State Secretary no later than one week before the meeting. Members who wish to name a proxy must notify the State Secretary no later than one week before the meeting.

Governing Documents

Governing documents are foundational legal instruments that define the structure, rules, and operating procedures of the society. They act as a blueprint for how authority is distributed, how decisions are made, and how rights and responsibilities are assigned among members, owners, or other stakeholders. By setting clear guidelines and procedures, governing documents promote stability, order, and predictability, helping the organization operate effectively and fulfill its purpose.

Articles of Incorporation and By-Laws

The Articles of Incorporation and By-Laws are the defining documents for the Florida Society of the Sons of the American Revolution (FLSSAR) and take precedence over all other documents.

Standing Rules and Procedures Manual

The Standing Rules and Procedures Manual is the next highest level of documentation of the society’s operation. The Standing Rules are generally established to facilitate the running of the business and to describe duties and responsibilities of officers and committees.

Committee Charters

The Committee Charters state the names, duties, structures, powers, methods of appointment, and terms of office of its members as outlined in the Articles of Incorporation and By-Laws.
